APPLICABLE LAWS AND MISCELLANEOUS

This Agreement may not be assigned in any manner by you without the express, prior written permission of Fracctal. This Agreement shall be governed by and construed in accordance with the laws of the State of California notwithstanding any conflict of laws provisions. The federal or state courts of the County of Santa Clara shall have exclusive jurisdiction and venue over any claims arising out of this Agreement, and you hereby consent to the personal jurisdiction and venue of such courts and waive any objections thereto.
